Legal / Licence

End-user licence.

Issued 2026.07.28, Rev 1.0, applies to Cimalys software integrations

§1

Who this applies to

This agreement is between Cimalys ApS (CVR 46502493), Næstvedvej 34 st., 4100 Ringsted, Denmark ("Cimalys") and the organisation that installs or uses a Cimalys software integration ("you"). It covers the Cimalys integrations listed on our integrations pages, including the e-conomic connector. It does not replace a signed services agreement; where you have one, that agreement prevails on any conflicting point.

§2

Licence granted

Cimalys grants you a non-exclusive, non-transferable, revocable licence to use the integration for your own internal business purposes, for as long as your subscription or engagement is active. The licence covers use by your employees and contractors acting on your behalf.

§3

What you may not do

You may not resell, sublicense, or provide the integration as a service to third parties; reverse engineer, decompile, or attempt to derive source code except where that right cannot lawfully be excluded; remove or obscure attribution; or use the integration to access accounting data you are not authorised to access.

§4

Your accounts and credentials

The integration connects to third-party systems using credentials you supply or authorise, such as an e-conomic agreement grant. You are responsible for keeping those credentials accurate and for revoking them when they should no longer be used. You may revoke an e-conomic grant at any time from within e-conomic, without going through Cimalys, which immediately ends the integration's access to those books.

§5

Access scope

The e-conomic connector reads invoices, customers, suppliers, the chart of accounts, products and accounting years. Where write access is enabled for your account, it is limited to creating drafts, such as draft orders and draft invoices, for your team to review before anything is sent or booked. It never performs an irreversible action: it does not book or post entries, and it does not delete records in your accounting system. Write access is off by default and enabled only on request. Where an integration's scope differs, that is stated on its own page before you connect it.

§6

Data protection

Where Cimalys processes personal data on your behalf through an integration, Cimalys acts as your processor and the data processing agreement applies. Where Cimalys processes personal data as controller, for example about visitors to this website, the privacy policy applies.

§7

Availability and support

Integrations are provided on a commercially reasonable efforts basis. They depend on third-party APIs that Cimalys does not control and that may change, rate-limit, or become unavailable. Cimalys does not warrant uninterrupted availability. Support terms, where they apply, are set out in your services agreement.

§8

Warranty disclaimer

Except as expressly stated, the integration is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose. Output derived from your accounting data is informational. It is not accounting, tax, or legal advice, and it does not replace review by a qualified professional or your own reporting obligations.

§9

Limitation of liability

To the extent permitted by law, Cimalys is not liable for indirect or consequential loss, loss of profit, or loss of data. Where you have a signed services agreement with Cimalys, the liability cap in that agreement applies. Nothing here limits liability for gross negligence, wilful misconduct, or anything else that cannot be limited under Danish law.

§10

Termination

The licence ends when your engagement or subscription ends, or immediately if you breach these terms. On termination, access is disabled and stored credentials are deleted. Data handling on termination is governed by clause 9 of the data processing agreement.

§11

Changes

Cimalys may update these terms. Material changes are notified to the contact address on your account before they take effect. Continued use after that date constitutes acceptance.

§12

Governing law

Danish law governs this agreement, excluding its conflict-of-laws rules. Exclusive venue is the courts of Copenhagen, Denmark. Questions: hello@cimalys.com.
